Terms of Use

Welcome to Endute. This document constitutes a legally binding agreement (“Agreement”) between you (“User,” “you,” “your”) and Elision Ltd (company number 16544567), trading as Endute, a company registered in England and Wales (“Company,” “we,” “us,” “our”), governing your use of our personal finance management application, Endute, including the web application, mobile applications, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy, which is incorporated by reference into this Agreement. If you do not agree to these terms, you must not access or use the Service.

1. The Service

1.1. Description: Endute is a personal finance management application available via web (app.endute.com) and mobile (Android and iOS). Features include, but are not limited to, budget management, manual and automated transaction tracking, investment portfolio management, tangible asset tracking, financial goal planning, reporting, financial insights, cash flow forecasting, and multi-currency support (the “Features”).

1.2. Third-Party Integrations: The Service integrates with various third-party services to provide its Features, including but not limited to:

  1. Regulated open banking providers for bank account data aggregation (Account Information Services)
  2. Market data providers for securities pricing
  3. A payment processor for subscription and payment processing
  4. Foreign exchange rate data providers
  5. A transactional email provider
  6. An AI service provider for transaction categorisation and helpdesk support

1.3. Service is Informational Only - NO FINANCIAL ADVICE: You explicitly acknowledge and agree that the Service is an informational and organisational tool only. The Company is not a financial advisor, planner, broker, or tax advisor. The Service is not intended to provide any financial, investment, legal, or tax advice. Any information, reports, forecasts, insights, or analysis generated by the Service - whether computed algorithmically or produced by AI-powered features - should not be considered a substitute for professional advice from a qualified expert. Your financial situation is unique, and all financial decisions you make are your own sole responsibility.

1.4. Not a System of Record: You acknowledge that the Service is an organisational and analytical tool and is not intended to be a primary system of record or a financial data backup service. You are solely responsible for maintaining your own official financial records and for backing up any data you enter into the Service.

1.5. AI-Powered Features: The Service uses artificial intelligence for transaction categorisation and helpdesk support. AI-generated outputs (including merchant categorisation, spending insights, and chatbot responses) may contain errors or inaccuracies. You should not rely on AI outputs as authoritative or as a substitute for your own judgement. The helpdesk chatbot does not have access to your account data and cannot perform any actions on your account.

2. Eligibility and User Accounts

2.1. Eligibility: You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service.

2.2. Registration: You must provide accurate, current, and complete information during the registration process, including a valid email address. You are responsible for keeping this information up-to-date.

2.3. Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any Multi-Factor Authentication (MFA) codes or devices. You agree to notify us immediately at support@endute.com of any unauthorised use of your account. The Company is not liable for any loss or damage arising from your failure to protect your account.

2.4. User-Provided Data: You are solely responsible for the accuracy, quality, and legality of the data you manually enter into the Service, including but not limited to transaction details, custom asset values, and budget amounts.

3. Open Banking

3.1. Bank Account Connections: The Service allows you to connect your bank accounts via regulated open banking providers. When you choose to connect a bank account, you will be redirected to your bank’s login page via the open banking provider to authorise read-only access to your account information (balances and transaction history). We never see, access, or store your bank login credentials.

3.2. Read-Only Access: The Service uses Account Information Services (AIS) only. We can view your account balances and transaction history but cannot initiate payments, move funds, modify your accounts, or access any other banking services.

3.3. Consent Duration and Re-Authentication: Your consent for open banking access is valid for 90 days. After this period, your bank connection will expire and no further data will be retrieved. To resume data access, you must re-authenticate by reconnecting your bank account through the same authorisation process. This 90-day re-authentication requirement applies across all markets.

3.4. Disconnection: You may disconnect any bank connection at any time from within the Service. When you disconnect, we immediately revoke the consent with the open banking provider. Previously imported transaction data are retained in your Endute account unless you delete your account (see Section 12).

3.5. Automatic Revocation on Subscription Lapse: If your subscription expires or is cancelled and you do not renew within a short grace period, your active bank connections will be automatically revoked. This stops further data collection from your bank accounts. Previously imported data are retained, and you may reconnect your bank accounts if you later resubscribe.

3.6. Third-Party Provider Terms: Your use of open banking services is also subject to the terms and conditions and privacy policies of the relevant open banking provider and your bank. You are responsible for reviewing and complying with those terms.

4. Subscriptions, Trial, and Payment

4.1. Trial Period: We may offer a one-time free trial to new users. The duration and features of the trial will be specified at the time of sign-up. At the end of the trial period, your access to the Service will be suspended unless you purchase a paid subscription.

4.2. Subscription Plans: The Service is provided on a subscription basis (“Subscription”). By purchasing a Subscription, you agree to pay the recurring fees specified for your chosen plan.

4.3. Billing and Payment: All payments are processed by our third-party payment processor. By providing a payment method, you authorise us to charge the subscription fees automatically on a recurring basis until you cancel. You agree to be bound by the payment processor’s own terms and conditions.

4.4. Cancellations and Refunds: You may cancel your Subscription at any time through the customer portal or within your account settings. Your cancellation will take effect at the end of the current billing cycle. Subscription fees are generally non-refundable, except as required by applicable law. For annual subscriptions, pro-rata refunds may be issued at the Company’s discretion in exceptional circumstances.

4.5. Fee Changes: We reserve the right to change our Subscription fees at any time. We will provide you with at least 30 days’ notice of any fee changes. Your continued use of the Service after the fee change constitutes your agreement to pay the modified fee.

5. User Conduct and Restrictions

You agree not to do any of the following:

  • Use the Service for any illegal or fraudulent purpose, or in violation of any applicable law.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying structure of the Service.
  • Use the Service to store or transmit infringing, libellous, or otherwise unlawful material, or material in violation of third-party privacy rights.
  • Interfere with or disrupt the integrity or performance of the Service or third-party data contained therein.
  • Attempt to gain unauthorised access to the Service or its related systems or networks.
  • Use any automated means, such as bots or scrapers, to access the Service.

You agree to use the Service for your own personal, non-commercial financial management only. The Service is not licensed for professional, commercial, or third-party use, including but not limited to providing financial advisory, accounting, or management services to others.

6. Third-Party Services and Content

6.1. Use of Third-Party Services: Your use of integrated third-party services is subject to their respective terms of use and privacy policies. You are responsible for reviewing and complying with those terms. By linking a bank account, you are granting the open banking provider and us permission to access your financial data as described in the provider’s terms and our Privacy Policy.

6.2. Disclaimer for Third-Party Data: The Service displays information received from third-party sources, including securities data and currency exchange rates. We do not create, verify, or guarantee the accuracy, completeness, or timeliness of this third-party data. Stock prices, exchange rates, and other market data may be delayed, inaccurate, or incomplete. You agree that the Company is not liable for any errors or delays in this data, or for any actions you take in reliance thereon.

7. Intellectual Property

7.1. Our Intellectual Property: The Service, including its software, code, design, branding, visual interfaces, graphics, reports, and all other constituent elements, are the exclusive property of Elision Ltd (trading as Endute) and its licensors, protected by copyright, trademark, and other intellectual property laws.

7.2. Your Content: You retain full ownership of the financial data, transaction information, and other personal content you upload or enter into the Service (“User Content”).

7.3. Licence to Us: By using the Service, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable licence to use, host, store, reproduce, modify, format, and display your User Content solely for the purpose of providing, maintaining, and improving the Service for you.

8. Data Privacy, Security, and Retention

8.1. Privacy Policy: Our collection and use of your personal information is governed by our Privacy Policy, available at endute.com/privacy-policy. You acknowledge that you have read the Privacy Policy and agree to its terms.

8.2. Security: We implement and maintain reasonable administrative, physical, and technical security safeguards to help protect the security and confidentiality of your User Content. However, you acknowledge that no security system is impenetrable, and we cannot guarantee the absolute security of our systems or your data.

8.3. Data Retention After Disconnection: If you disconnect a bank account, previously imported transaction data and account information will remain in your Endute account. No new data will be fetched from that bank. To remove previously imported data, you must delete your account (see Section 12).

8.4. Data Export: You may export your financial data at any time using the export features within the Service. We encourage you to maintain your own copies of any data that is important to you.

9. Referral Programme

9.1. The Company may offer a referral programme allowing you to invite others to the Service. The terms, rewards, and limitations of any active referral programme will be specified within the Service.

9.2. Referral rewards are subject to conditions, including that the referred user must create a valid account and, where applicable, subscribe to a paid plan. The Company reserves the right to modify, suspend, or terminate the referral programme at any time.

9.3. Abuse of the referral programme, including creating fake accounts or self-referrals, will result in forfeiture of referral rewards and may result in account termination.

10. Complaints

10.1. If you are dissatisfied with any aspect of the Service, you may submit a complaint by contacting us at support@endute.com or via the in-app helpdesk.

10.2. We will acknowledge formal complaints within 3 business days and aim to provide a written response within 15 business days. For complex complaints requiring further investigation, we will keep you informed of progress and aim to respond within 35 business days.

10.3. For complaints relating to open banking data access, you may also contact our open banking provider, whose details will be provided upon request.

10.4. For complaints relating to data protection, you have the right to lodge a complaint with the Information Commissioner’s Office (ICO) at ico.org.uk.

11. Disclaimers of Warranties

11.1. “AS IS” and “AS AVAILABLE”: THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

11.2. No Guarantee of Accuracy or Performance: WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE THE ACCURACY OF ANY CALCULATIONS PERFORMED BY THE SERVICE, INCLUDING BUT NOT LIMITED TO CURRENCY CONVERSIONS, INVESTMENT RETURNS, ACCOUNT BALANCES, FORECASTS, OR AI-GENERATED CATEGORISATIONS AND INSIGHTS. ERRORS IN UNDERLYING DATA FROM THIRD PARTIES OR IN OUR OWN ALGORITHMS MAY OCCUR.

12. Limitation of Liability

12.1. Exclusion of Damages: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING ANY RELIANCE ON SUCH CONTENT; (D) UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

12.2. Liability Cap: TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED POUNDS STERLING (£100.00) OR (B) THE TOTAL AMOUNT OF SUBSCRIPTION FEES YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees), resulting from or arising out of (a) your use and access of the Service, or (b) a breach of these Terms.

14. Term and Termination

14.1. Term: This Agreement will remain in full force and effect while you use the Service.

14.2. Termination by You: You may terminate this Agreement at any time by cancelling your subscription and ceasing all use of the Service.

14.3. Termination by Us: We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including but not limited to a breach of these Terms or non-payment of fees.

14.4. Account Deletion: You may request deletion of your account by contacting us. Upon requesting deletion, a 72-hour grace period applies during which you may cancel the request. After the grace period, your personal data will be permanently deleted and your financial records will be anonymised, in accordance with our Privacy Policy. Open banking consents will be revoked with all connected providers. This process is irreversible.

14.5. Data Export Before Termination: You may export your data at any time using the in-app export features. We encourage you to export any data you wish to keep before cancelling your account or requesting deletion. After account deletion, your data cannot be recovered.

15. Modifications to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect, via email and/or an in-app notification. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after such modifications become effective constitutes your acceptance of the new Terms.

16. Governing Law and Dispute Resolution

This Agreement shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any legal matter arising from this Agreement.

17. General Provisions

17.1. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding our Service and supersede all prior agreements.

17.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
